Official Rules and Regulations

NO PURCHASE NECESSARY TO ENTER OR WIN. A PURCHASE WILL NOT IMPROVE YOUR CHANCES OF WINNING.

ELIGIBILITY: Florists’ Transworld Delivery, Inc. (“Sponsor” or “FTD”) announces the “FTD Mom & Me Sweepstakes,” which is open only to legal residents of the 50 United States, the District of Columbia and the provinces of Canada (excluding the Province of Quebec) who are at least 21 years or older as of the date of entry. Both the person submitting the entry (each, a “participant”) and the person eligible for becoming the Grand Prize Winner, as described below, must meet the foregoing requirements. In addition, the person eligible for becoming the Grand Prize Winner must be a mother. Void where prohibited or restricted by law. Void in Quebec. Sweepstakes is governed by U.S. and Canadian law and subject to all applicable federal, state, provincial, and local laws and regulations. By entering the Sweepstakes, all participants agree to accept and be bound by all terms and conditions of these Official Rules and Regulations (“Official Rules”).

Employees, directors, FTD member florists and their employees (as well as members of any of their immediate families or household) of Sponsor and its parents, affiliates, divisions, licensees, subsidiaries, sponsors, advertising and promotional agencies, and sweepstakes promotional partners are not eligible to participate in or win the Sweepstakes.

HOW TO ENTER: NO PURCHASE NECESSARY TO ENTER OR WIN. A PURCHASE WILL NOT IMPROVE YOUR CHANCES OF WINNING. From 9:01 AM CST on April 28, 2008 through and including 11:59 PM CST on May 12, 2008 (the “Entry Period”), Sponsor will conduct a Sweepstakes, as specified below. There are 3 ways to enter the Sweepstakes, as follows:

(A) Entry with Purchase: During the Entry Period, one entry will be received for each order of “The FTD Mother’s Day Bouquet,” “The FTD Spring Garden Bouquet,” “The Laura Ashley Bouquet presented by FTD,” or “The FTD Spring Splendor Bouquet” that is sent to a mother as follows:

(1) for each qualifying purchase through FTD.com or 1-800-SEND-FTD, one entry will be submitted automatically; and

(2) for each qualifying purchase through a local FTD member florist (by phone or in person) that is transmitted via the FTD Mercury Communications Network for clearing through FTD’s clearinghouse, one entry will be submitted automatically. In order to be transmitted via the FTD Mercury Communications Network, the purchase must be ordered through one FTD member florist and delivered by a second FTD member florist.

The person entered into the drawing in connection with the entry with purchase will be the customer making the qualifying purchase; however, the person eligible for winning the prize will be the recipient of the qualifying purchase, which recipient must be a mother in order to qualify. If the customer would like to decline entry into the Sweepstakes, he/she may e-mail corporate@ftd.com and request to be removed.

(B) Free Entry via Entry Form at Participating FTD member florist locations: During the Entry Period, official entry forms will be available at participating FTD member florists in the United States and Canada (excluding Quebec). No purchase at the participating FTD member florist location is necessary to enter. Simply complete the entry form (available at the FTD member florist location during regular business hours) by hand printing (1) your full name, address, contact phone number, and e-mail address and (2) for US residents, the full name and address of the person you want to be the Grand Prize Winner, who must be a mother. Then deposit the completed entry in the official ballot box located at the participating FTD member florist location.

(C) Free Entry Permitted by Mail: During the Entry Period, you may send in a 3 x 5 card on which you have hand printed (1) your full name, address, contact phone number, and e-mail address and (2) for US residents, the full name and address of the person you want to be the Grand Prize Winner, who must be a mother. The card must be sent to: FTD Mom & Me Sweepstakes, PO Box 7053, Downers Grove, IL 60515-7053. All mail-in entries must be postmarked no later than May 12, 2008 and received by the last mail delivery on May 22, 2008.

Notice Regarding Canadian Residents: Canadian participants will not be asked to provide the name or contact information of a mother in connection with the free entries (whether by entry form at FTD member florist locations or by mail). Instead, if a Canadian free entry is selected to win, the Canadian participant will select a mother at that time to be the potential Grand Prize Winner and will be required to obtain that mother’s prior written consent in order to be contacted by FTD. If a Canadian entry with purchase is selected to win, the Canadian participant must obtain the prior written consent of the mother who received the qualifying purchase in order to be contacted by FTD. Similarly, if a US free entry or entry with purchase is selected to win and the potential Grand Prize Winner is a resident of Canada, such US participant must obtain the prior written consent of the mother designated or who received the qualifying purchase, as applicable, in order to be contacted by FTD.

All entries become the property of Sponsor and will not be acknowledged or returned.

WINNER SELECTION: On or about May 27, 2008 around 1:00 PM CST, one entry will be randomly selected by an independent judging organization from all eligible entries received during the Entry Period. Subject to compliance with these rules, the Grand Prize Winner will be the recipient of the qualifying purchase, if the winning entry was an entry with purchase, or the mother designated by the participant submitting the free entry form or mail-in card, if the winning entry was a free entry without purchase. The Grand Prize Winner must be a mother. The decision of the judges will be final and binding in all matters related to the Sweepstakes. The odds of winning will depend on the total number of eligible entries received via all three of the specified methods of entry.

WINNER NOTIFICATION: Sponsor will provide notice by telephone, mail, or e-mail with respect to the selected entry within 7 days after the drawing. For US entries where the potential Grand Prize Winner is a US resident, the notification will go to the applicable mother. For Canadian entries and for US entries where the potential Grand Prize Winner is a Canadian resident, the notification will go to the participant submitting the entry or making the purchase, and, as indicated above, the participant first must obtain the consent of the mother who is the potential Grand Prize Winner in order that Sponsor may notify the mother that she has been selected as the potential Grand Prize Winner. In any case, the selected Grand Prize Winner must meet all eligibility requirements specified in these Official Rules, including the timely execution and return of all documents referred to in the “General Rules and Regulations” section of these Official Rules. The return of any prize notification as undeliverable, the failure to obtain the consent of a selected Canadian Grand Prize Winner, as described above, or the failure of the selected Grand Prize Winner to claim the prize, return the signed documents in the time period required (as indicated below), or comply with these Official Rules (or the failure of the person who submitted the selected Grand Prize Winner to comply with these Official Rules) will result in disqualification of the selected Grand Prize Winner, and an alternate winner will be randomly selected at Sponsor’s discretion. If either the participant or selected Grand Prize Winner is not available to speak with Sponsor's representatives after two attempts or fails to respond to a written notification within 10 days of mailing or e-mailing, or if a telephone number, mailing address, or e-mail address was not provided for the participant or selected Grand Prize Winner, as applicable, in connection with the entry submitted, the participant and selected Grand Prize Winner will be disqualified, and an alternate winner will be randomly selected at Sponsor’s discretion. Notice to Canadian Participants or selected Grand Prize Winners: If the selected Grand Prize Winner is an eligible Canadian resident, such person must also correctly solve, unaided, a mathematical, time-limited, skill testing question to be administered via telephone by the Sweepstakes administrator within a 7-day period following the notification of being selected as a Grand Prize Winner in order to claim the Grand Prize. Should the selected winner not be able to correctly solve the skill testing question, an alternate winner will be randomly selected from all eligible entries.

DESCRIPTION OF PRIZE: One Grand Prize Winner will receive a new 2008 Cadillac CTS Coupe. Approximate retail value of Grand Prize: US $35,500.

The Grand Prize Winner must take delivery of the vehicle from Sponsor. Sponsor will have the vehicle delivered to the residence of the Grand Prize Winner on a day and time determined by Sponsor, which will be no later than 6 months following the final determination of the Grand Prize Winner. Vehicle color and optional accessories, if any, will be determined in Sponsor’s sole discretion. The Grand Prize Winner is responsible for all taxes and expenses, including sales tax, registration, title, and license fees, insurance, and all other costs incurred in claiming, registering, or using the vehicle. The vehicle will be delivered solely with the express limited warranties set forth in the vehicle’s owner’s guide, which warranties will be provided exclusively by the vehicle manufacturer, and not by Sponsor. Vehicle will be released only (a) upon proof of valid driver’s license that is honored in the state/province/territory in which the Grand Prize Winner resides at the time of entry and (b) compliance with any applicable laws, including satisfactory proof of insurance, all of which must be verified on the date of delivery.

All other expenses not specified herein are the Grand Prize Winner’s sole responsibility. The Grand Prize Winner is responsible for the reporting and payment of all federal, state, provincial, territorial, and local taxes (if any) (and any other applicable taxes, fees, customs duties, and surcharges) related to the awarded prize. If the Grand Prize Winner is an eligible Canadian resident, he or she may be required to pre-pay any applicable taxes and customs duties prior to delivery of the awarded prize.

TOTAL APPROXIMATE RETAIL VALUE OF GRAND PRIZE: US $35,500.00.

GENERAL RULES AND REGULATIONS: By entering this Sweepstakes, each participant, and by accepting the prize, the Grand Prize Winner, grants Sponsor and its designees the right, unless prohibited by law, to use his or her name, voice, picture and likeness, without compensation, notification or approval for the purpose of advertising and publicizing the goods and services of Sponsor and all matters related to the Sweepstakes, in any manner or medium, throughout the world in perpetuity. The Grand Prize Winner will be required to sign, without limitation, (1) an affidavit of eligibility, which will include confirmation of compliance with these Official Rules (including a declaration the that Grand Prize Winner is a mother) and acceptance of the Grand Prize as awarded, (2) a liability release, (3) a tax acknowledgment form, where applicable, which will include the winner’s tax identification number for tax reporting purposes (where applicable), and (4) except where prohibited by law, a publicity release for the use of the winner’s name and likeness, all of which documents must be returned within 10 days of issuance of notification.

Sponsor expressly disclaims any responsibility and participants, by entering this Sweepstakes, and the Grand Prize Winner, by accepting the prize, agree to indemnify and hold harmless Sponsor, and its employees, officers, directors, shareholders, agents, subsidiaries, affiliates, divisions, licensees, advertising and promotional agencies affiliated with the Sweepstakes, promotional partners, participating establishments and any independent contest judges appointed by Sponsor, from and against any and all claims, demands, actions and/or liability for injury, damage or loss whatsoever relating to or arising in connection with participation in this Sweepstakes (regardless of the cause of such injury, damage or loss) and/or the delivery and/or subsequent use or misuse of any of the prizes awarded.

No more than the stated number of prizes per these Official Rules will be awarded. No substitution or transfer of prizes or cash redemptions are permitted by the Grand Prize Winner, except Sponsor reserves the right to substitute any prize(s) of equal or greater value for any reason whatsoever.

Sponsor is not responsible for incomplete, lost, late, delayed, not received, damaged, misdirected, stolen, postage due, or illegible entries, typographical or printing errors, technical, hardware, or software failures of any kind, lost or unavailable network connections, or failed, incomplete, garbled or delayed computer transmissions or other errors or problems of any kind, whether originating with sender or recipient, which may limit or affect a person’s ability to participate in the Sweepstakes. Sponsor may withdraw, amend, or terminate this Sweepstakes at any time for any reason without prior notice but subject to applicable law. Without limiting the foregoing, in the event of sabotage, acts of God, terrorism, computer virus or other events or causes beyond Sponsor’s control that corrupt the fairness, integrity, administration, security or proper operation of the Sweepstakes, Sponsor reserves the right, in its sole discretion, to modify, cancel or suspend the Sweepstakes, in whole or in part. In the event of cancellation of the Sweepstakes for any reason, Sponsor reserves the right to award prizes from among all eligible, non-suspect entries received prior to the event requiring such cancellation. False or deceptive entries or acts will render a participant (and his/her applicable entries) ineligible.

IN NO EVENT WILL SPONSOR, AND ITS PARENTS, AFFILIATES, DIVISIONS, LICENSEES, SUBSIDIARIES, SPONSORS, ADVERTISING AND PROMOTIONAL AGENCIES, AND SWEEPSTAKES PROMOTIONAL PARTNERS OR ITS AND THEIR RESPECTIVE EMPLOYEES, OFFICERS, DIRECTORS, SHAREHOLDERS AND AGENTS, BE RESPONSIBLE OR LIABLE FOR ANY DAMAGES OR LOSSES OF ANY KIND, INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF A PARTICIPANT’S OR THE GRAND PRIZE WINNER’S ACCESS TO AND USE OF THE FTD.COM INTERNET SITE; THE DOWNLOADING FROM AND/OR PRINTING MATERIAL DOWNLOADED FROM SAID SITE, OR ARISING OUT OF OR RELATING TO ANY PRIZE, INCLUDING CONCERNING THE AWARD AND USE OF ANY PRIZE. WITHOUT LIMITING THE FOREGOING, EVERYTHING ON SAID SITE AND ANY PRIZES AWARDED ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. Some jurisdictions may not allow the limitations or exclusion of liability for incidental or consequential damages or exclusion of implied warranties, so some of the above limitations or exclusions may not apply to you. Check your local laws for any restrictions or limitations regarding these limitations or exclusions.

OFFICIAL RULES OR WINNERS LIST: During the Entry Period, a copy of these Official Rules will be available by following the Sweepstakes link from the www.ftd.com website, by mail as described below or at participating FTD member florist locations. Following confirmation of the Grand Prize Winner, the Winner’s List and Sweepstakes Summary will be posted on the www.ftd.com website for a period of no less than 45 days following completion of the Sweepstakes. For a copy of the Official Rules or the Winners’ List, send a self-addressed, stamped envelope (residents of Canada, WA and VT need not include return postage) to the following address by July 31, 2008 (please specify “Official Rules” or “Winners”) – FTD Mom & Me Sweepstakes, PO Box 7053, Downers Grove, IL 60515-7053.
